1. Acceptance of Terms
By engaging our services, submitting an enquiry, or making a payment to us, you ("the Client") agree to be bound by these Terms & Conditions. If you do not agree, please do not use our services.
2. Services
We provide digital marketing services including, but not limited to: Search Engine Optimization (SEO), Local SEO, Content Writing, Online Reputation Management (ORM), and App Store Optimization (ASO). The specific scope, deliverables, timeline, and fees for each engagement will be agreed in writing (email or written proposal) before work begins.
3. Quotes, Fees & Payment
- All fees are quoted in writing before an engagement begins. Unless stated otherwise, prices are in USD or AED as specified in the proposal.
- Payment terms (upfront, milestone-based, or monthly recurring) are stated in the proposal or invoice for each engagement.
- Work commences after receipt of the agreed initial payment, unless otherwise agreed in writing.
- Invoices are payable within the period stated on the invoice. We reserve the right to pause work on overdue accounts.
4. Client Responsibilities
The Client agrees to provide timely access to materials reasonably required to perform the services, such as website access, brand assets, account credentials (where applicable), and approvals. Delays in providing these may extend delivery timelines without liability to us.
5. No Guarantee of Specific Results
Search engine rankings, traffic levels, review outcomes, and app store positions are controlled by third-party platforms (such as Google and Apple) whose algorithms change without notice. While we apply industry best practices, we do not guarantee specific rankings, traffic figures, or revenue outcomes, and no statement by us should be interpreted as such a guarantee.
6. Intellectual Property
- Upon full payment, deliverables created specifically for the Client (such as written content) become the property of the Client.
- We retain ownership of our internal methodologies, tools, templates, and know-how.
- The Client warrants that any materials supplied to us do not infringe third-party rights.
7. Cancellation
Cancellation terms are set out in our Refund & Cancellation Policy, which forms part of these Terms.
8. Refunds & Disputes
Refunds and billing disputes are handled in accordance with our Refund & Cancellation Policy. If you believe you have been charged in error, contact us at official@thespiremedia.com before raising a dispute with your payment provider, and we will work to resolve it promptly.
9. Confidentiality
Both parties agree to keep confidential any non-public business information shared during the engagement, except where disclosure is required by law.
10. Limitation of Liability
To the maximum extent permitted by law, our total liability arising out of or relating to any engagement is limited to the fees actually paid by the Client for the specific services giving rise to the claim. We are not liable for indirect, incidental, or consequential losses, including loss of profits or business opportunities.
11. Acceptable Use
We do not provide services intended to deceive consumers, manipulate platforms in violation of their terms of service, or promote unlawful content. We reserve the right to decline or discontinue any engagement that, in our judgment, violates applicable law or platform policies.
12. Promotions
Any promotional offers or discounts we publish are subject to the specific terms stated alongside the promotion, including validity period and eligibility. Promotions cannot be combined unless expressly stated.
13. Governing Law
These Terms are governed by the laws of the Emirate of Ras Al Khaimah and the applicable federal laws of the United Arab Emirates. Any disputes shall be subject to the jurisdiction of the competent courts of Ras Al Khaimah, UAE.
14. Changes to These Terms
We may update these Terms from time to time. The latest version will always be posted on this page with the "last updated" date above. Continued use of our services after changes constitutes acceptance of the revised Terms.
